Welcome to Mifrey.

The terms "Mifrey," "we," "us," and "our" refer to Mifrey. Mifrey operates mifrey.com, including the information, content, features, tools, products, and services available through the website (collectively, the "Services").

Mifrey is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service ("Terms"), together with the policies referenced in them, describe your rights and responsibilities when using our Services.

Please read these Terms carefully. They contain important information regarding your legal rights, purchases, warranties, and limitations of liability.

By accessing, browsing, purchasing from, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

We reserve the right to discontinue products or limit quantities available to any person, household, geographic region, or jurisdiction where reasonably necessary.

3. Wellness and Product Use

Mifrey products are intended for personal wellness, beauty, massage, or self-care purposes as described on the applicable product page.

Unless expressly stated otherwise, our products and the information provided through the Services are not medical devices, medical advice, diagnosis, or medical treatment and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Information provided through Mifrey's website, advertising, product descriptions, instructions, social media, or other communications is provided for general informational purposes and is not a substitute for advice from an appropriately qualified healthcare professional.

You are responsible for using products in accordance with the instructions, warnings, and intended use provided with the product.

If you have a medical condition, are pregnant, have recently undergone surgery or a medical procedure, use an implanted medical device, have concerns regarding swelling, pain, circulation, lymphatic conditions, or otherwise have concerns about whether a product is appropriate for you, you should seek advice from an appropriately qualified healthcare professional before use.

Stop using a product and seek appropriate advice if you experience unexpected pain, significant irritation, injury, or other concerning symptoms.

Nothing in this section limits rights or remedies available to you under applicable consumer protection law.

4. Orders

When you submit an order, you are making an offer to purchase the products contained in that order.

We reserve the right to accept, reject, or cancel an order where reasonably necessary, including because of suspected fraud, payment problems, pricing or inventory errors, product unavailability, shipping restrictions, or other legitimate reasons.

Your order is accepted when we confirm acceptance or begin processing the order.

Payment must be successfully authorized or processed before fulfillment.

Please review your order carefully before submitting it.

Our fulfillment process may begin shortly after an order is placed. We will make reasonable efforts to accommodate cancellation requests received before fulfillment, but cancellation cannot be guaranteed once an order has entered processing or has shipped.

Returns, refunds, replacements, and exchanges are governed by our Return & Refund Policy.

Products purchased through Mifrey are intended for personal or household use unless otherwise agreed.

5. Prices and Payment

Prices, discounts, promotions, and offers may change without notice.

The price charged will generally be the price displayed at checkout when your order is submitted, subject to correction of genuine pricing or technical errors as permitted by applicable law.

Unless otherwise stated, prices displayed to customers in the United States are shown in US dollars (USD).

Applicable taxes, shipping charges, or other charges, if any, will be displayed during checkout where required.

You agree to provide accurate and complete billing and payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method.

Payments may be processed by Shopify Payments and other authorized payment service providers.

6. Shipping and Delivery

We will arrange shipment to the delivery address provided with your order.

Delivery dates and transit times displayed on our website or communicated to you are estimates unless expressly stated otherwise.

Delivery may be affected by circumstances outside our reasonable control, including carrier delays, severe weather, customs or border processing, transportation disruption, peak-season volumes, incorrect addresses, or other logistics events.

We will provide tracking information where available.

If an order is significantly delayed, lost, damaged during transit, or otherwise experiences a delivery problem, please contact hello@mifrey.com.

Lost, undelivered, damaged, and incorrectly addressed orders will be handled in accordance with our Shipping Policy and Return & Refund Policy.

Nothing in these Terms transfers risk to you earlier than permitted under applicable consumer protection law.

7. Returns and Refunds

Returns, refunds, replacements, damaged products, incorrect products, lost shipments, cancellations, and related matters are governed by our Return & Refund Policy available on mifrey.com.

Our voluntary policies do not exclude, restrict, or modify consumer rights that cannot lawfully be excluded.

8. Intellectual Property

The Services and their content, including Mifrey's branding, trademarks, logos, text, graphics, photographs, videos, designs, website elements, and other materials, are owned by or licensed to Mifrey or its applicable licensors and are protected by applicable intellectual property laws.

You may access and use the Services for personal, non-commercial purposes.

Unless permitted by applicable law or authorized by us in writing, you may not reproduce, distribute, modify, republish, commercially exploit, or create derivative works from Mifrey's proprietary content.

Mifrey's names, logos, product names, designs, and slogans may be trademarks or other protected intellectual property of Mifrey or its licensors.

Shopify's names, logos, product names, and trademarks belong to Shopify or its applicable affiliates.

Nothing in these Terms grants you ownership of intellectual property belonging to Mifrey, Shopify, or any third party.

We may provide access to tools, applications, integrations, or functionality supplied by third parties.

We may not control or monitor those third-party services.

Your use of third-party tools may also be subject to the terms and privacy practices of the applicable third-party provider.

To the extent permitted by applicable law, we are not responsible for third-party tools or services that are outside our reasonable control.

We do not control third-party websites and are not responsible for their content, privacy practices, security, availability, products, or services.

If you choose to visit or transact with a third party, you should review its applicable terms and privacy policies.

11. Relationship With Shopify

Mifrey is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our Store are made directly with Mifrey.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Mifrey, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Mifrey, to the extent permitted by applicable law.

12. Privacy

Our collection, use, processing, and disclosure of personal information is governed by our Privacy Policy, available on mifrey.com.

Because our Services are powered by Shopify, Shopify also collects and processes certain personal information relating to your access to and use of the Services.

13. Feedback and Reviews

If you voluntarily submit reviews, photographs, videos, suggestions, ideas, feedback, or other content to Mifrey ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, display, and distribute that Feedback for purposes connected with operating, improving, and promoting Mifrey and our products, subject to applicable law.

You represent that you have the necessary rights to provide the Feedback and that it does not infringe the rights of another person.

You must disclose any compensation or incentive received in connection with a review or endorsement where required by applicable law.

We may moderate or remove content that we reasonably believe is unlawful, fraudulent, misleading, abusive, defamatory, obscene, infringing, or otherwise inappropriate.

We will not knowingly alter customer reviews in a manner that materially misrepresents the customer's genuine opinion or experience.

14. Errors, Inaccuracies and Omissions

Occasionally, information available through the Services may contain typographical errors, inaccuracies, technical errors, or omissions relating to matters such as product descriptions, pricing, promotions, availability, shipping charges, or delivery estimates.

We reserve the right to correct genuine errors and update information.

Where permitted by applicable law, we may cancel or correct an order affected by an obvious pricing, inventory, or technical error and will provide an appropriate refund if payment has already been collected and the order cannot be fulfilled.

Where automated access is expressly permitted, the applicable system must accurately identify itself where technically required and comply with any reasonable technical requirements we establish.

We may suspend or terminate access to the Services where reasonably necessary, including for material violations of these Terms, suspected fraud, security risks, unlawful activity, or abuse of the Services.

Termination does not affect obligations or rights that accrued before termination.

Provisions that by their nature should survive termination will continue to apply.

To the fullest extent permitted by applicable law, and except for warranties, guarantees, or rights that cannot legally be excluded, the Services are provided on an "as is" and "as available" basis.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or continuously available.

Nothing in these Terms excludes statutory warranties, guarantees, or consumer protections that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Mifrey and its officers, employees, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from use of the Services where such liability may lawfully be excluded.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing in these Terms limits any rights or remedies available to consumers that cannot lawfully be excluded, restricted, or modified.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Mifrey and its applicable affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, losses, or reasonable costs arising directly from:

• Your material breach of these Terms.

• Your unlawful use of the Services.

• Your infringement of another person's rights.

This section does not apply to the extent that a claim results from Mifrey's own unlawful conduct, negligence, or breach of applicable obligations.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where necessary.

The remaining provisions will continue in effect.

22. Waiver and Entire Agreement

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms and the policies incorporated into them constitute the agreement governing your use of the Services, subject to any rights that cannot legally be excluded.

23. Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent where consent may lawfully be required.

We may assign or transfer our rights and obligations in connection with a legitimate restructuring, sale, merger, acquisition, or transfer of the business, subject to applicable law.

24. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles.

However, if you are a consumer residing in another jurisdiction, including the United States, this choice of law does not deprive you of mandatory consumer protections or other rights that apply to you under the laws of your jurisdiction and cannot lawfully be waived.

Any dispute will be handled by a court or tribunal having lawful jurisdiction over the matter.
